01 Acceptance of Terms

By accessing or using the SmartFinanceData website, platform, API, or any associated products (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies we may publish from time to time.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you ("User", "you") and SmartFinanceData ("we", "us", "our").

02 Definitions

The following definitions apply throughout these Terms:

03 Eligibility

To access and use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract in your jurisdiction
• Not be located in, or a resident of, any country subject to UK government sanctions or trade restrictions
• Not have previously had your account terminated by us for a violation of these Terms

SmartFinanceData is a data analytics and research tool. It is not a regulated financial service or investment platform. We do not hold any financial services authorisation from the Financial Conduct Authority (FCA) or any equivalent body.

04 Account Registration

Certain features of the Service require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Keep your password confidential and not share account credentials with any third party
• Notify us immediately at support@smartfinancedata.com if you become aware of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You may not create more than one free account per person. We reserve the right to suspend or terminate accounts found to be operating in violation of this restriction. Each Pro Plan Subscription is for individual use only unless you hold an active Team or Enterprise plan.

05 Subscriptions & Billing

Plan tiers

Billing & payment

• All prices are displayed in GBP (£) and are inclusive of VAT where applicable
• Payment is processed securely by Stripe, Inc. We do not store your full card details
• Subscriptions renew automatically at the end of each billing period unless cancelled
• You authorise us to charge your payment method on each renewal date
• We will provide at least 7 days' notice of any price changes before they take effect

Cancellation

You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you will retain full access until that date. We do not provide partial-period refunds except as set out in our refund policy below.

Refund policy

• Refund requests after 30 days from initial purchase are assessed on a case-by-case basis
• Annual plan subscribers who cancel partway through their term are not entitled to a pro-rata refund unless we have materially breached these Terms
• Refunds for Enterprise plans are governed by your separate contractual agreement

Failed payments

If a payment fails, we will retry the charge up to three times over a seven-day period. If payment remains outstanding, your account may be downgraded to the Free Plan until the outstanding balance is settled.

06 Permitted Use

Subject to these Terms and any applicable plan restrictions, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for the following purposes:

• Personal research and education in market analytics, trading strategy development, and probabilistic analysis
• Internal business analysis and decision-support, provided this does not include redistribution to third parties
• Development of personal trading strategies and systems using our data as one of multiple inputs
• Academic and non-commercial research with appropriate attribution to SmartFinanceData as the data source

All use of the Service must comply with applicable laws and regulations in your jurisdiction and must not infringe the rights of any third party.

07 Prohibited Conduct

You must not, and must not allow any third party to, engage in the following activities in connection with the Service:

• Resell, sublicense, redistribute, or otherwise commercialise any Content or data obtained through the Service without prior written consent
• Scrape, crawl, spider, or systematically download or mirror any portion of the Service or its Content beyond normal browser-based browsing
• Use automated scripts, bots, or data extraction tools to access the Service at a rate or in a manner that exceeds normal human use
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software underlying the Service
• Circumvent, disable, or interfere with any security, authentication, or access control mechanisms of the Service
• Share your account login credentials with any other person, or allow concurrent use of a single account by multiple users (except on Team or Enterprise plans)
• Use the Service in any way that could disable, overload, damage, or impair it or interfere with others' use
• Use the Service to develop or train competing products, machine learning models, or algorithmic systems for commercial sale to third parties
• Misrepresent our data, remove attribution, or present our Content as your own original work in commercial publications
• Use the Service to engage in any activity that is unlawful, fraudulent, misleading, or harmful
• Attempt to gain unauthorised access to other users' accounts or any non-public areas of the Service

08 Intellectual Property

The Service and all of its Content — including but not limited to datasets, probability tables, charts, analytical methodologies, written research, software, design, trademarks, and branding — are owned by or licensed to SmartFinanceData and are protected by copyright, database rights, and other intellectual property laws of England and Wales and applicable international law.

What you may do

• View, download, and print Content for your own personal, non-commercial research use
• Share limited extracts (not entire datasets) with appropriate attribution to SmartFinanceData, provided this is done on a non-commercial basis
• Link to pages on our platform from external websites or publications

What you may not do

• Reproduce, publish, or distribute any dataset, data table, or substantial portion of Content in any commercial publication, tool, or product
• Remove, alter, or obscure any copyright notice, watermark, or attribution from any Content
• Register any trademark, domain, or company name that incorporates "SmartFinanceData" or any confusingly similar designation
• Use our logo, branding, or trade dress in any way without our prior written permission

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without any obligation to compensate you or maintain confidentiality, unless separately agreed in writing.

09 No Financial Advice

SmartFinanceData is not authorised or regulated by the Financial Conduct Authority (FCA) or any equivalent financial regulatory body. We are a data analytics and research platform — not a broker, investment manager, or financial adviser.

Historical market data and probabilistic statistics presented on the platform:

• Are derived from past market behaviour and are not indicative of future results
• Do not account for your individual financial situation, risk tolerance, tax position, or investment objectives
• May contain errors, omissions, or inaccuracies despite our best efforts to maintain data quality
• Should be used as one of many inputs in your own independent research, not as the sole basis for any trading or investment decision

Trading and investing in financial markets carries significant risk of loss, including the possible loss of capital exceeding your initial investment. You should seek independent financial advice from a qualified professional before making any financial decisions.

10 Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service and all Content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

We expressly disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties as to the accuracy, completeness, reliability, or currency of any Content
• Warranties that defects will be corrected or that the platform is free of viruses or other harmful components

Nothing in these Terms shall exclude or restrict any statutory rights you may have as a consumer under applicable law that cannot be excluded by contract.

11 Limitation of Liability

To the fullest extent permitted by law, SmartFinanceData, its directors, employees, contractors, and licensors shall not be liable for:

• Any indirect, incidental, consequential, special, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Trading or investment losses arising from reliance on any Content
• Damages arising from your inability to access or use the Service
• Damages caused by unauthorised access to or alteration of your transmissions or data

In no event shall our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service exceed the greater of:

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.

12 Indemnification

You agree to indemnify, defend, and hold harmless SmartFinanceData and its directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or access to the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any intellectual property or other rights of any third party
• Any misrepresentation you make in connection with the Service

We reserve the right to assume exclusive control of the defence of any matter for which you are required to indemnify us. You agree to cooperate with our defence of any such claims.

13 Third-Party Links & Services

The Service may contain links to third-party websites, tools, or services that are not owned or controlled by SmartFinanceData. These links are provided for convenience only and do not constitute an endorsement or recommendation of those third parties.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You access third-party links at your own risk and subject to that third party's terms and conditions.

In particular, links to brokers, trading platforms, or financial products do not constitute investment advice or a recommendation to use those services. We are not affiliated with or compensated by any broker or trading platform unless explicitly disclosed.

14 Termination

Termination by you

You may close your account and terminate your use of the Service at any time by cancelling your subscription through your account settings and ceasing use of the platform. If you wish to have your personal data deleted, please refer to your rights under our Privacy Policy.

Termination by us

We reserve the right to suspend or permanently terminate your account and access to the Service, with or without notice, for any of the following reasons:

• Breach of any provision of these Terms, including Prohibited Conduct (Section 7)
• Failure to pay subscription fees when due
• Activity that is unlawful, fraudulent, or harmful to us, other users, or third parties
• Extended periods of inactivity on free accounts (at least 12 months' prior notice will be given)
• Any other reason at our sole discretion, where we deem it necessary to protect the integrity of the Service

Effect of termination

Upon termination, your licence to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including Sections 8 (Intellectual Property), 9 (No Financial Advice), 10 (Disclaimer), 11 (Limitation of Liability), and 12 (Indemnification).

15 Modifications to These Terms

We may update these Terms at any time to reflect changes to our business practices, applicable law, or the Service. When we make material changes we will:

• Update the "Last updated" date at the top of this page
• Notify registered users by email at least 14 days before changes take effect
• For significant changes, seek your affirmative consent before they apply to your existing subscription

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and, if applicable, cancel your Subscription before the effective date.

16 Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales.

Before resorting to formal legal proceedings, we encourage you to contact us directly to resolve any dispute informally. We will make every reasonable effort to resolve complaints quickly and fairly.

If informal resolution is not possible, any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law in your country of residence grants you the right to bring proceedings in your local courts.
